Terms of Service

1. Agreement to Terms
By accessing or using Baselyne ("the Service"), operated by Baselyne ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms apply to all users, including businesses and their authorized employees who access the Service under a business subscription.
2. Description of Service
Baselyne is a business intelligence and operations platform designed for trades and service businesses. The Service includes lead tracking, customer relationship management (CRM), job management, reporting dashboards, invoicing tools, and related features (collectively, "the Platform").
The Platform is intended for use by businesses operating in Canada and is provided on a subscription basis. Features available to you depend on your active subscription plan.
3. Accounts and Registration
To use the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at hello@baselyne.ca if you suspect unauthorized access to your account.
You may not share your account credentials with anyone outside your authorized organization. Each user must have their own login.
4. Subscriptions and Billing
Subscription Plans. The Service is offered under multiple subscription tiers. Details of current plans, pricing, and included features are described on our website at baselyne.ca/pricing.
Billing Cycle. Subscriptions are billed monthly or annually, depending on the plan you select. Monthly subscriptions renew automatically each month on the anniversary of your start date.
Payment. All payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for all fees incurred.
Price Changes. We may change subscription pricing with 30 days' written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
Refunds. Subscription fees are non-refundable except as required by applicable law. If you cancel mid-cycle, your access continues through the end of the paid period.
Add-ons. Optional add-on features (e.g., additional locations, extra users) are billed in addition to the base subscription fee and are subject to the same billing terms.
5. Cancellation
You may cancel your subscription at any time from the Billing Portal within your account, or by contacting us at hello@baselyne.ca.
Cancellation takes effect at the end of the current billing period. We do not prorate or refund partial months. After cancellation, your account will be downgraded to a read-only state for 30 days, after which your data may be permanently deleted.
We may cancel or suspend your account at any time for violation of these Terms, with or without notice, in which case we may provide a prorated refund at our sole discretion.
6. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service to store, transmit, or process any data you do not have the legal right to use
- Attempt to gain unauthorized access to any part of the Service or related systems
- Use automated means to access or interact with the Service (bots, scrapers, crawlers) without our prior written consent
- Reverse engineer, decompile, or disassemble any portion of the Service
- Use the Service to violate any applicable law, regulation, or third-party right
- Transmit unsolicited commercial communications (spam) through any Service features
- Upload malware, viruses, or any harmful code to the Service
7. Your Data and Privacy
You retain ownership of all business data you input into the Platform ("Customer Data"), including leads, customers, job records, and business information.
By using the Service, you grant us a limited, non-exclusive license to store, process, and display your Customer Data solely to provide the Service to you.
Upon cancellation or account termination, we will provide you with an export of your Customer Data upon request within 30 days of cancellation, after which we may delete your data from our systems.
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
8. Intellectual Property
The Service, including all software, designs, text, graphics, and other content created by Baselyne, is owned by Baselyne and protected by Canadian and international intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes during the term of your subscription.
You may not copy, reproduce, distribute, create derivative works of, or otherwise exploit any part of the Service without our prior written consent.
9. Confidentiality
Each party agrees to keep confidential any non-public information received from the other party that is designated as confidential or that reasonably should be understood to be confidential, and to use such information only to fulfill obligations under these Terms.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses. We do not warrant that the results obtained from use of the Service will be accurate or reliable.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BASELYNE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
Our total cumulative liability to you for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless Baselyne and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any applicable law.
13. Third-Party Services
The Service integrates with third-party services including Stripe (payment processing) and Supabase (infrastructure). Your use of such third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of any third-party service providers.
14. Changes to Terms
We may modify these Terms at any time. If we make material changes, we will notify you by email or by displaying a prominent notice within the Service. Your continued use of the Service after notice of changes constitutes acceptance of the modified Terms.
If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.
15. Governing Law and Disputes
These Terms are governed by the laws of the Province of Saskatchewan, Canada, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Saskatchewan, Canada, and you consent to the personal jurisdiction of those courts.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Baselyne regarding the Service and supersede all prior agreements and understandings.
